Payment & Billing Policy

How payments, subscriptions, and billing work for the BillBasket POS App

1. Introduction

This Payment & Billing Policy ("Policy") governs all payments, subscriptions, invoices, renewals, pricing, taxes, refunds, cancellations, promotional offers, and other financial matters relating to the purchase and use of the BillBasket POS App and related services, provided by BillBasket Solutions LLP ("BillBasket", "Company", "we", "our", or "us").

It applies to all BillBasket offerings, including the Desktop Software, Cloud Services, Mobile Applications, Software Licenses, Annual Maintenance Plans, Subscription Services, Add-on Modules, APIs, and future products. By purchasing, subscribing to, activating, renewing, or using any Service, you agree to this Policy together with our Privacy Policy, Terms of Service, Refund & Cancellation Policy, and other applicable agreements.

2. Definitions

  • "Subscription" — the limited right to access or use specified Services during a subscription period, subject to payment and compliance.
  • "License" — the limited, non-exclusive, non-transferable, revocable right to install and use the Software in accordance with the applicable terms.
  • "Billing Cycle" — the recurring period for which subscription fees become payable (monthly, quarterly, half-yearly, annual, multi-year, or lifetime where offered).
  • "Renewal" — continuation of a Subscription after expiry upon payment of renewal charges.
  • "Enterprise Customer" — a Customer purchasing for multiple users, outlets, branches, or entities under a commercial or enterprise agreement.
  • "Applicable Taxes" — GST, VAT, sales tax, withholding tax, or other statutory charges under applicable law.

3. Scope

This Policy applies to all purchases and billing transactions relating to the Services, including desktop software, cloud subscriptions, mobile applications, renewals, upgrades, add-on modules, maintenance plans, enterprise agreements, trial-to-paid conversions, professional services, remote installation, data migration, training, and future products — whether paid directly to BillBasket, through an authorised reseller or distributor, an online payment gateway, an app marketplace, or another authorised channel.

4. Eligibility to Purchase

By purchasing, you represent that you are legally competent to contract; the information you provide is accurate; the payment method belongs to you or you are authorised to use it; you will comply with applicable law; and, where acting for a business, you have authority to bind it. We may refuse, suspend, or cancel transactions where fraud, unauthorised payment, or legal violations are reasonably suspected.

5. Product Pricing

Unless stated otherwise: prices are displayed in Indian Rupees (INR) (or the applicable local currency where offered); pricing is exclusive of applicable taxes unless indicated; published prices may be revised without prior notice for future purchases; promotional pricing is valid only for its period; enterprise pricing may be governed by separate agreements; and authorised resellers may offer pricing under approved arrangements. Pricing errors due to typographical, technical, or system issues may be corrected before completion.

6. Subscription Plans

We offer multiple licensing and subscription models, which may include Free Trial, Monthly, Quarterly, Annual, Multi-Year, Lifetime (where offered), Enterprise Licensing, Add-on Modules, Cloud Subscriptions, Mobile Subscriptions, and Annual Maintenance Plans. Availability may vary by edition, region, campaign, reseller arrangement, or future offerings. Each subscription grants a limited, non-exclusive, non-transferable, revocable right to use the Services during the purchased period.

7. Free Trial

We may, at our discretion, provide free trial access to selected Services. Unless specified: trials are time-limited; some features may be restricted; cloud storage and support may be limited; enterprise features may be unavailable; and trial versions may display upgrade reminders. We may modify, suspend, extend, or discontinue any trial at any time.

8. Software License Activation

After successful payment and verification, we may activate the licence using mechanisms such as licence keys, activation codes, online verification, device registration, account verification, subscription authentication, or secure digital licensing. Activation may require internet connectivity at initial activation, renewal, or periodic validation. You shall not bypass, alter, disable, reverse engineer, or interfere with our licensing mechanisms.

9. Accepted Payment Methods

We accept payments through authorised channels, which may include UPI, credit cards, debit cards, net banking, bank transfer, NEFT, RTGS, IMPS, payment gateways, QR-code payments, wallet payments (where available), payments through authorised resellers, and corporate purchase orders (where approved). Availability may vary by location, regulation, gateway availability, or product type.

10. Payment Authorization and Confirmation

By submitting payment information, you represent that the method is valid, you are authorised to use it, sufficient funds/credit are available, the information is accurate, and the transaction does not violate any law or obligation. A purchase is generally considered successful only after payment authorisation and receipt, fraud verification (where applicable), tax calculation, and our issuance of confirmation or activation.

11. Taxes and GST

You are responsible for applicable taxes unless expressly stated otherwise. Where required by law, we collect and remit GST or other applicable taxes. If you require a GST invoice, you must provide accurate billing information (including GSTIN where applicable, legal business name, and billing address) at the time of purchase. We are not responsible for delays, denial of input tax credit, or invoicing issues arising from incorrect or incomplete information you provide.

12. Invoices and Billing Information

On successful payment, we may issue an electronic invoice, receipt, or tax invoice, which may include invoice number and date, customer/business name, billing address, GST details, product, subscription period, quantity, unit price, taxes, total, payment status, and transaction reference. You should review invoices on receipt and report any discrepancy within a reasonable period.

13. Subscription Renewal and Expiration

Unless specified, subscriptions are valid only for the purchased period, and you are responsible for renewing before expiry to maintain uninterrupted access. We may send renewal reminders by email, SMS, WhatsApp, mobile or in-app notifications, customer portal, or website as a convenience only; failure to receive a reminder does not relieve you of the responsibility to renew. On expiry, certain features may become unavailable until renewal.

14. Auto Renewal

Where Auto Renewal is offered and expressly enabled by you: the applicable fee may be charged using your selected method before the current period expires; the renewed subscription commences immediately upon expiry unless specified; and you may disable Auto Renewal at any time before the next renewal date through account settings or by contacting Support.

15. Failed Payments

Payments may fail due to insufficient balance, expired or blocked instruments, bank authorisation failure, gateway interruption, connectivity issues, fraud-prevention measures, regulatory restrictions, or technical errors beyond our reasonable control. Where a payment fails, the Service may not be activated or renewed, pending orders may remain unprocessed, and we may request an alternative method.

16. Duplicate Payments

If you reasonably believe duplicate payments were made for the same order, notify us promptly with transaction details. After verification, we may refund the duplicate payment, adjust the excess against future invoices, issue account credit, or adopt another commercially reasonable resolution.

17. Refunds

Refund eligibility, processing, and non-refundable cases are governed by our separate Refund & Cancellation Policy, read together with this Policy. In summary, refunds may be considered for duplicate payments, verified billing errors caused by BillBasket, unsuccessful activation due solely to a BillBasket technical issue, unauthorised transactions verified after investigation, and orders cancelled by BillBasket before activation. Nothing limits statutory consumer rights.

18. Cancellation of Orders

You may request cancellation before activation or fulfilment, subject to the nature of the Service. Once a licence is activated or a subscription has commenced, cancellation is reviewed under the Refund & Cancellation Policy and applicable law. We may cancel orders where payment cannot be verified, fraud is suspected, pricing errors occur, regulatory requirements prevent completion, or products become unavailable.

19. Promotional Offers, Coupons, and Referrals

We may offer promotional pricing, introductory offers, seasonal campaigns, bundles, referral rewards, or educational discounts. Unless stated otherwise: offers are valid only during the specified period; cannot be combined with other promotions; apply only to eligible purchases; have no cash value; and unused benefits expire automatically. Coupon codes may have expiry dates, product/plan restrictions, minimum-purchase requirements, one-time use, and non-transferability.

20. Price Revisions

We may revise pricing at any time due to factors such as inflation, taxation changes, infrastructure or licensing costs, product improvements, operational expenses, market conditions, or business strategy. Revised pricing generally applies only to future purchases or renewals unless required by law or agreed in writing. Existing paid subscription periods ordinarily remain unaffected until scheduled expiry.

21. Enterprise Pricing and Billing

Enterprise Customers may receive customised commercial terms under separately negotiated agreements. Such arrangements are governed by the applicable Enterprise Service Agreement, which prevails over this Policy to the extent of any express conflict for the relevant enterprise transaction.

22. Cloud Service Billing

Where you voluntarily subscribe to Cloud Services: charges apply per the selected plan; cloud services may be billed monthly, annually, multi-year, or on another approved cycle; storage, sync, user, or feature limits may vary by plan; and access may be suspended or limited on expiry or non-payment.

23. Mobile Application Purchases

Where purchases are made through third-party marketplaces (such as Google Play or the Apple App Store): payment processing may be governed by the marketplace's billing system; refunds may be subject to the marketplace's policies where legally required; and subscription management may be performed through the marketplace.

24. Resellers and Authorized Partners

The Services may be sold through authorised distributors, resellers, implementation partners, or channel partners. Where you purchase through an authorised partner: pricing may differ; payment terms may be governed by the reseller agreement; invoices may be issued by the reseller; and refunds may initially be handled by the selling partner unless otherwise agreed. Please purchase only through officially authorised channels.

25. Payment Security and Fraud Prevention

We use secure payment gateways, encryption, authentication, and fraud-prevention practices appropriate to the payment method. We do not intentionally store complete card numbers, CVV, ATM PINs, internet-banking passwords, UPI PINs, or other sensitive authentication credentials. Payments may be processed by authorised third-party providers under their own security standards.

26. Chargebacks, Non-Payment, and Suspension

You are encouraged to contact us before initiating a chargeback. Where a chargeback is initiated, we may temporarily suspend associated Services during investigation, request supporting documentation, and contest invalid or fraudulent chargebacks. Failure to pay fees when due may result in suspension of premium features, cloud sync, support, or updates. Nothing limits your rights under applicable consumer-protection laws.

27. Billing Disputes

If you believe an invoice, fee, renewal charge, tax calculation, or transaction is incorrect, notify us promptly with reasonable supporting information. We may review the transaction, verify records, consult providers, request additional information, and communicate the outcome within a reasonable period.

28. Limitation of Liability

To the maximum extent permitted by applicable law, we are not responsible for payment delays, failed transactions, or financial losses arising from banking failures, gateway interruptions, connectivity issues, third-party marketplace failures, telecommunications disruptions, currency fluctuations, governmental restrictions, taxation changes, force majeure, or circumstances beyond our reasonable control.

29. Governing Law and Jurisdiction

This Policy is governed by the laws of the Republic of India. Subject to applicable law, the competent courts located in Pune, Maharashtra, India shall have exclusive jurisdiction.

India. Billing and payment activities are conducted consistent with applicable GST law, the Information Technology Act, 2000, and — where the Services involve digital payment acceptance — applicable Reserve Bank of India directions.

Nepal. Mandatory provisions of Nepali law apply, including consumer-protection law, applicable VAT/tax law, and applicable Nepal Rastra Bank directives governing payment systems.

Bangladesh. Mandatory provisions of Bangladeshi law apply, including consumer-protection law, applicable VAT/tax law, and applicable Bangladesh Bank regulations governing payment and settlement systems.
